Vendor Agreement

Terms and conditions for selling on Arena Marketplace.

This Vendor Agreement (“Agreement”) governs your use of Arena Marketplace as a vendor. By registering as a vendor on Arena, you agree to comply with the terms outlined in this Agreement. This Agreement supplements our general Terms of Service.

Arena Marketplace (“Arena,” “we,” “us,” or “our”) provides an online platform connecting artisans, creators, and fashion vendors with buyers across Nigeria. As a vendor, you play a vital role in our marketplace, and this Agreement sets out the standards and expectations we hold for all sellers.

1. Vendor Eligibility

  • You must be at least 18 years of age to register as a vendor on Arena
  • You must be a registered Nigerian business or an individual operating lawfully within Nigeria
  • Vendors offering authentic, handcrafted, or artisan products are preferred and given priority visibility
  • All vendors must agree to identity verification through our KYC partner (QoreID) before receiving payouts
  • You must provide accurate business information, including a valid bank account and contact details
  • Arena reserves the right to reject vendor applications that do not meet our eligibility criteria

2. Commission & Fees

  • Arena charges a category-based commission ranging from 5% to 12% on each sale under the Free tier
  • Paid subscription tiers offer reduced commission rates: Basic (₦5,000/mo at 10%), Pro (₦15,000/mo at 7%), and Elite (₦30,000/mo at 5%)
  • Commission is automatically deducted from each sale before the payout is credited to your balance
  • There are no hidden fees, listing fees, or sign-up charges on the Free tier
  • Payment processing fees charged by third-party providers (Paystack, Flutterwave) are separate from Arena commissions
  • Arena may adjust commission rates with 30 days advance notice to vendors

3. Payout Terms

  • Payouts are processed according to your subscription tier schedule: manual request (Free), weekly (Basic), daily (Pro and Elite)
  • A trust-based maturation hold applies to all payouts: NEW vendors have a 48-hour hold, ESTABLISHED vendors have a 24-hour hold, and TRUSTED vendors have no hold
  • Trust tier upgrades are earned automatically based on order history, fulfillment rate, and account age
  • The minimum payout threshold is ₦1,000 — balances below this amount will roll over to the next payout cycle
  • Bank account verification is required before any payouts can be processed
  • Payouts are made in Nigerian Naira (NGN) to a Nigerian bank account registered in your name or business name

4. Product Standards

  • All product listings must include accurate descriptions, dimensions, materials, and high-quality photographs
  • Products must be as described — misrepresentation may result in listing removal and account penalties
  • Prohibited items include: counterfeit or replica goods, illegal items, regulated substances, stolen property, and weapons
  • Products that infringe on third-party intellectual property rights are strictly prohibited
  • Arena reserves the right to remove any listing that violates these product standards without prior notice
  • Vendors are responsible for ensuring their products comply with all applicable Nigerian consumer protection laws

5. Order Fulfillment

  • Vendors must ship orders within 48 hours of receiving order confirmation from Arena
  • Use Arena’s integrated logistics partners (Terminal Africa, ShipBubble) or other approved shipping methods
  • Tracking information must be provided for every shipment and updated promptly on the platform
  • Failure to fulfill orders within the required timeframe may result in penalties, including reduced trust tier and account suspension
  • Vendors are responsible for proper packaging to prevent damage during transit
  • Repeated order cancellations or unfulfilled orders will trigger an automatic account review

6. Account Termination

  • Arena may suspend or terminate vendor accounts for violations of this agreement, fraudulent activity, or repeated customer complaints
  • Vendors may voluntarily close their accounts by providing 30 days written notice to Arena support
  • Upon account closure, any outstanding payout balance will be settled within 14 business days, subject to the maturation hold period
  • Suspended vendors may appeal the decision by contacting [email protected] within 7 days of suspension
  • Repeated or severe policy violations will result in a permanent ban from the Arena platform
  • Arena reserves the right to withhold payouts if there are unresolved disputes, chargebacks, or fraud investigations at the time of termination

7. Intellectual Property

  • Vendors retain full ownership of their product images, descriptions, and brand content uploaded to Arena
  • By listing products on Arena, you grant Arena a non-exclusive, royalty-free license to display, promote, and distribute your content on the platform and in marketing materials
  • Vendors must not upload content that infringes on third-party copyrights, trademarks, or other intellectual property rights
  • If you believe your intellectual property has been infringed by another vendor, report it to [email protected]
  • Arena will remove infringing content upon verification and may suspend the offending vendor’s account
  • This license terminates when you remove your content from the platform or close your account

8. Governing Law

This Agreement is governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this Agreement shall be resolved through negotiation first, and if unresolved, through the courts of competent jurisdiction in Nigeria.

9. Changes to This Agreement

Arena may update this Agreement from time to time to reflect changes in our policies, features, or legal requirements. We will notify vendors of material changes via email and by posting the updated Agreement on this page. Continued use of the platform after changes are posted constitutes acceptance of the revised Agreement. We encourage vendors to review this page periodically.
